Sole Proprietorships

A sole proprietorship is a simplified form of business owned by a natural person engaged in commercial, industrial, or artisanal activities.
This form does not require a minimum capital contribution and cannot include partners.
The entrepreneur is personally liable for the obligations of the business, which operates under the rules of the Commercial Code.

Prepare Your Application

To register a company in Mauritania, you simply need to prepare the following documents:
  • Filled and signed Unified Business Creation Form
  • Identity document of the applicant or manager (national ID, residence card, or passport)
  • Proof of business address (property title, lease, or occupancy certificate + utility bill)
  • Administrative authorization to operate, when required
  • Payment of registration fees through approved mobile banking accounts
  • ID copies of declared employees (if applicable)

Specific Documents

Depending on legal form
  • Marriage certificate or equivalent document (for foreign nationals)
  • Certified copy and three (3) photocopies of the Articles of Association
  • Certificate of deposit of the Articles of Association at the Commercial Court
  • Proof of capital deposit or declaration of paid-up capital (if exceeding MRU 10,000)
  • Certified copy of the Group Agreement
  • Copies of Commercial Register extracts and Articles of Association of the member entities
  • Certificate of deposit of the Group Agreement at the Commercial Court
  • Certified list of managers or partners legally responsible for the group
  • Up-to-date Commercial Register extract of the parent company
  • Certified copy of the parent company’s Articles of Association (if legal entity)
  • Certified copy of the resolution creating the branch and appointing its director
